Official Rules

NO PURCHASE NECESSARY TO PARTICIPATE OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

1. Sponsor. The sponsor of this Promotion is Buddy Media, Inc., 1845 Broadway, New York, NY 10023 (“Buddy Media” or “Sponsor”).

2. Eligibility. The Buddy Media Facebook Sweepstakes” (the “Promotion”) is open only to lawful residents of the United States (including the District of Columbia) and Canada (not including Quebec), who are 18 years of age or older as of the Entry Date (defined below), and who submit a valid entry as provided herein (collectively “Participants”). By participating in the Promotion, Participants warrant that they are eligible to participate under the applicable laws governing procurement of prizes and awards. Sponsor reserves the right to disqualify any Participant if Sponsor determines that Participant’s participation in the Promotion or receipt of prize would violate state or local law. Participants may be required to submit proof of their eligibility.

3. Agreement to Official Rules. Participation in the Promotion constitutes Participant’s full and unconditional agreement to and acceptance of these Official Rules.

4. Create and Submit an Entry. To be eligible, Participant must sign up for a user account on Facebook (www.facebook.com), become a “Fan” of the Buddy Media page (located at http://www.facebook.com/buddymedia) and complete and submit the entry form found on the ‘Sweeps’ tab on the Buddy Media Facebook page (the “Entry”). Creating a Facebook user account is subject to the Statement of Rights and Responsibilities found at http://www.facebook.com/terms.php?ref=pf.

5. Entering and Winning. The Promotion begins on June 10, 2010 at 5:30 p.m. (EST) and ends on June 24, 2010 at 11:59 p.m. (EST) (“Entry Date”). Sponsor will select the winners at random from all valid Entries received up to the point of each drawing. Winner will be announced via email on June 18, 2010. Odds of winning depend on total number of Entries received. Limit one Entry per person. Multiple Entries from the same person will not be accepted, or if accepted, will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, illegible or misdirected Entries, which will be disqualified, or for any error, human, technical or otherwise. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Promotion or to be acting in violation of these Official Rules.

6. Prizes.

Grand Prize: One (1) Apple® iPad with an approximate retail value of $499 USD; and

Prizes are not transferable, and no cash substitutes for prizes are available, except by Sponsor, who reserves the right, in its sole discretion, to substitute different prizes of comparable value. Sponsor’s decisions shall be final and conclusive in all matters relating to the Promotion. Applicable local, state, and federal taxes and any customs charges or tariffs on prizes are the sole responsibility of and must be paid by the winner(s).

7. Prize Notification and Delivery. Each potential winner will be notified via the email address provided by Participant on the Entry. The potential winner may, at Sponsor’s discretion, be required to sign and return an affidavit of eligibility and release of liability, as well as a publicity release, except where prohibited by applicable law. Failure to return a signed affidavit and release of liability prior to accepting delivery of the prize may result in forfeiture of the prize, except where prohibited by applicable law. Proof of sending will not be deemed to be proof of receipt by Sponsor. If for any reason a potential winner cannot be reached after a reasonable attempt has been made, or does not return a signed affidavit and release within fourteen (14) days after being notified, the prize may be awarded to an alternate winner, randomly selected from among remaining entries. The prize will be sent to the address provided by Participant on his or her entry. Allow up to eight (8) weeks for delivery. Failure to comply with any term or condition in these Official Rules may result in disqualification at Sponsor’s sole discretion. Potential winner(s) may waive their right to receive a prize, in which case an alternate winner will be selected in the manner described above. The reporting and payment of any taxes on prizes are the sole responsibility of the winner(s). Any applicable forms will be filed with the appropriate taxing authority.

8. WINNER’S RESPONSIBILITIES: Sweepstakes winner will be solely responsible for all taxes on Sweepstakes Prize and will receive an IRS Form 1099 for the retail value of Sweepstakes Prize. Winner is solely responsible for all other expenses not specifically set forth herein, including but not limited to accessories or data plans.

9. Use of Information. IDENTIFIABLE INFORMATION ACQUIRED IN THE COURSE OF ADMINISTERING THE PROMOTION WILL BE USED BY BUDDY MEDIA OR ITS REPRESENTATIVES TO ADMINISTER THE PROMOTION, AND FOR NO OTHER PURPOSE. BUDDY MEDIA’S PRIVACY POLICY CAN BE FOUND HERE: http://www.buddymedia.com/privacy-policy. Per section 3.3 of the Facebook Promotion Guidelines: “This promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to the “Sponsor” and not to Facebook. The information you provide will only be used for administration of the promotion.”

10. General Conditions. Except where prohibited by applicable law, participation in the Promotion constitutes each winner’s consent to Sponsor’s use of the winner’s name, city, state, province or county, and country, likeness, photograph, statements made by the winner about the Promotion, Sponsor, and/or prize information for Promotion purposes in any media without further payment or consideration. BY RECEIPT OF ANY PRIZE, EACH WINNER AGREES TO RELEASE AND HOLD HARMLESS SPONSOR, BUDDY MEDIA, Inc, FACEBOOK, AND THEIR SUBSIDIARIES, AFFILIATES, AGENTS AND THEIR RESPECTIVE OFFICERS, DIRECTORS AND EMPLOYEES FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPATION IN THE PROMOTION OR RECEIPT, POSSESSION, USE OR MISUSE OF THE PRIZE. All entries become the property of Sponsor, and none will be returned. Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures, sabotage, security breach, or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Promotion as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from the eligible entries received up to the time of the impairment.

11. Miscellaneous. Participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than the administration of the Promotion or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Courts for the Southern District of New York (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of each Participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

12. Winners List. The winners list will be available for thirty (30) days after the final Drawing Date by mailing a request to: Buddy Media Attn: Katherine Bateman, 1845 Broadway, New York, NY 10023. For a copy of these Official Rules, please write to the same address by the same deadline.
